1. Agreement to Terms

By accessing or using DeskIt LLC's services, website, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

DeskIt LLC provides custom software development and automation services for service-based businesses, including but not limited to:

3. Eligibility and Account

5. Payment Terms

  • Late payments may incur interest charges
  • We reserve the right to suspend services for non-payment

6. Intellectual Property

Our Intellectual Property: All content, features, and functionality of our Services, including but not limited to software, designs, text, graphics, and logos, are owned by DeskIt LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Your Intellectual Property: You retain ownership of your data, content, and intellectual property. By using our Services, you grant us a limited license to use your data and content solely for the purpose of providing the Services to you.

Deliverables: Ownership of custom deliverables will be specified in your service agreement. Unless otherwise agreed, you will own the deliverables, and we retain the right to use general methodologies and techniques developed in the course of providing services.

7. Data and Confidentiality

We take data security and confidentiality seriously:

  • We will maintain the confidentiality of your data and information
  • We implement appropriate security measures to protect your data
  • We will not use your data for purposes other than providing the Services
  • We will not disclose your confidential information to third parties without your consent, except as required by law

8. Use Restrictions

You agree not to:

  • Use the Services for any illegal or unauthorized purpose

  • Reverse engineer, decompile, or disassemble any software provided
  • Use the Services to transmit viruses, malware, or harmful code
  • Use automated systems to access the Services without permission

9. Warranties and Disclaimers

Service Warranties: We warrant that we will perform the Services in a professional and workmanlike manner in accordance with industry standards.

Disclaimers: EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS OR YOUR SERVICE AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES of MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that the Services will be uninterrupted, error-free, or completely secure. AI and automation technologies may produce unexpected results, and you are responsible for reviewing and validating all outputs.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DESKIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising out of or relating to these Terms or the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless DeskIt LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Services, violation of these Terms, or infringement of any rights of another.

12. Termination

Either party may terminate a service agreement in accordance with its terms. We may also suspend or terminate your access to the Services immediately, without prior notice, if you:

  • Violate these Terms or any service agreement
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activity
  • Use the Services in a manner that poses a risk to us or others

Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services.
